Our capital markets team has in-depth experience from stock exchange listing and other equity capital market transactions in listed and non-listed companies, bond issues and securities law matters. We have long-time experience with assisting foreign capital investing in Norway and we assist a number of domestic entities connected to capital raisings. IPOs

Our firm assists with listing of Norwegian and foreign companies on Oslo Børs, Euronext Expand, Euronext Growth and N‑OTC, and with bond listings on Oslo Børs and Nordic ABM. We have particular competence on secondary listings of foreign companies.

Equity capital market transactions (ECM)

We assist with equity issues in listed and unlisted companies, with and without a prospectus, in rights issues and private placements with and without repair issues and in issues of other equity capital instruments such as warrants, convertible loans and in more sophisticated combinations of instruments. Our team has experience with equity capital market transactions within a variety of sectors such as, for instance, finance, oil and gas, aquaculture, airline, shipping, biotech and pharmacy.

Bond issuances (DCM)

We assist issuers and managers with all types of bond issuances and advise our clients with negotiating of bond agreements. We have also experience with listing of bonds on the Oslo Stock Exchange and the Nordic Alternative Bond Market.

Ongoing assistance to listed companies

We assist issuers, primary insiders and investors related to the various disclosure requirements on regulated markets and MTFs, provide guidance connected to inside information and the obligations triggered thereby, market manipulation and short-sale. Further, we assist in matters related to equal treatment of shareholders and investors, incentive programs, remuneration issues and board and general meetings in listed companies. Even further, we have considerable experienced in assisting listed entities and their employees in their dealings with regulated markets and supervisory authorities.

He has also assisted related to takeover and de-listing of the public companies Statoil Fuel & Retail, Evry, Sølvtrans, Veripos and recently Piano Software's takeover and delisting of Cxense.
