The Norwegian Competition Authority unconditionally clears the acquisition of Get/TDC Norway by Telia

The deal, announced mid-July, has a deal value of NOK 21 billion (EUR 2.2 bn.) and the transaction leads to the formation of a leading digital challenger in the Norwegian market. Simonsen Vogt Wiig assisted Telia in all aspects of the transaction, including the merger filing process before the Norwegian Competition Authority (NCA). The NCA cleared the deal in 'phase I,' and the NCA scrutinized non-coordinated, coordinated and conglomerate effects of the merger pre- and post-notification.

Get is a leading provider of fixed broadband and TV services with more than 500.000 customers connected to its fiber-based network, and more than one million private and business customers using their TV and broadband services on a daily basis. TDC Norway is a B2B tele- and data communications service provider.

Telia Norway has more than 2.3 million mobile subscriptions in Norway and reported revenues in 2017 of NOK 9.8 billion, while GET TDC Norway reported revenues of NOK 4 billion.

Simonsen Vogt Wiig is proud to have acted as sole legal advisor to Telia Company AB in one of the most significant transactions in Norway this year.

Jan Magne Langseth on Simonsen Vogt Wiig’s competition team was lead in the merger filing process before the NCA. The full team included lawyers both from the TMT and the competition practice: Espen Tøndel, Torstein Losnedahl, Erik Martinius Klevmo, and Olav Haukeli.
