We advised Prime Capital AG, a German independent financial services provider and asset management firm, focusing on institutional clients, and Nordlicht Holding GmbH & Co. KG in a highly complex transaction comprising acquisition and development of Tromsø Vind AS and Raudfjell Vind AS from Norsk Miljøkraft AS. The project companies are licensed to construct and operate wind power plants with total installed effect of up to 300 MW at Kvaløya in the municipality of Tromsø.
This wind power farm is one of the largest wind power projects under development in Northern Europe. The project companies have entered into a turbine supply agreement with Siemens Gamesa. Simonsen Vogt Wiig advised on all aspects of the project development and related transactions, including turbine procurement, civil works, regulatory issues, grid issues, real estate issues, power purchase agreement, el-certificate services agreement etc.
The deal includes many first time features such as new contract structures, first Corporate PPA in the Nordic countries with wind power as energy source and with an international industrial company as off-taker, first time a PPA was backed by a guarantee from the Norwegian export credit guarantee agency (GIEK) and the first deploying of a KfW financing in Norway.
Peter Aall Simonsen is the head of our renewable energy group and lead partner on the deal assisted by partner Pål Brudvik. He participated in the founding of the Norwegian wind power association (NORWEA) and is today chairperson of the association and the leading expert on wind power in Norway. He has participated in numerous wind power projects and investments in Norway and works predominantly for foreign developers and investors, but also for Norwegian utilities and state agencies involved in wind power.
